Terms of Service

1. Introduction and Acceptance

Welcome to Invi, an invoice management service operated by Apensy LTD, a company registered in Cyprus (“Company”, “we”, “our”, “us”).

These Terms of Service (“Terms”) govern your access to and use of the Invi platform available at www.invi-app.com and any related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Invi is a cloud-based invoicing and expense management platform that allows businesses to:

• Create, send, and manage invoices
• Track expenses and receipts
• Manage client information
• Generate financial reports
• Process recurring invoices
• Send payment reminders

The Service is provided as a Software-as-a-Service (SaaS) solution and requires an internet connection to access.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be at least 18 years of age or the age of majority in your jurisdiction
• Accept responsibility for all activities under your account

You must notify us immediately at support@invi-app.com of any unauthorized access to your account.

4. Subscription Plans and Billing

4.1 Free and Paid Plans

We offer both free and paid subscription plans. Free plans have usage limitations. Paid plans provide additional features and higher usage limits as described on our pricing page.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis (“Billing Cycle”). You authorize us to charge your payment method for all fees due.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each Billing Cycle unless you cancel before the renewal date. You can cancel your subscription through your account settings or by contacting support@invi-app.com.

4.4 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next Billing Cycle.

4.5 Refunds

We offer refunds within 14 days of initial purchase for annual subscriptions. Monthly subscriptions are non-refundable but you may cancel at any time.

5. Your Data and Content

5.1 Ownership

You retain all rights to the data and content you upload to the Service (“Your Data”). We do not claim ownership of Your Data.

5.2 License to Us

You grant us a limited license to use, process, and store Your Data solely to provide the Service to you. This license terminates when you delete Your Data or close your account.

5.3 Your Responsibilities

You are responsible for:

• The accuracy and legality of Your Data
• Ensuring you have the right to upload any data, including client information
• Maintaining your own backups of critical data
• Complying with applicable laws regarding invoicing and record-keeping

5.4 Client Data (GDPR)

When you store your clients' personal data in the Service, you act as the Data Controller under GDPR, and we act as your Data Processor. You are responsible for having a legal basis to process your clients' data and for responding to their data subject requests. See our Privacy Policy for details on how we process data.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Create fraudulent or deceptive invoices
• Infringe on intellectual property rights of others
• Upload malicious code or attempt to breach security
• Interfere with or disrupt the Service
• Resell or redistribute the Service without authorization
• Send spam or unsolicited communications through the Service
• Store or transmit illegal content
• Impersonate another person or entity

7. Service Availability

We strive to maintain high availability of the Service but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Circumstances beyond our reasonable control

We are not liable for any loss or damage resulting from Service unavailability.

8. Intellectual Property

The Service, including its design, features, and functionality, is owned by Apensy LTD and protected by copyright, trademark, and other intellectual property laws of Cyprus, the European Union, and other jurisdictions.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code.

9. Third-Party Services

The Service integrates with third-party services such as:

• Stripe for payment processing
• Email providers for sending invoices
• Cloud storage for file storage

Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services.

10. Termination

10.1 By You

You may terminate your account at any time through your account settings or by contacting support@invi-app.com. Upon termination:

• Your access to the Service will end
• You may export Your Data before termination
• We will retain Your Data for 30 days before deletion (except as required by law)

10.2 By Us

We may suspend or terminate your access to the Service if you:

• Breach these Terms
• Fail to pay applicable fees
• Engage in fraudulent or illegal activity
• Create risk or legal exposure for us

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of any information

We do not warrant that the Service will be uninterrupted, secure, or error-free.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, data, business, or goodwill
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless Apensy LTD and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Email notification to your registered email address
• Notice within the Service
• Updating the “Last updated” date above

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of Cyprus.

If you are a consumer in the European Union, you may also have rights under the laws of your country of residence, and you may refer disputes to the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apensy LTD regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any affiliate or successor.
